Draft — under legal review. It describes how Spake is built and sold, but it has not been reviewed by a lawyer and is not legal advice.
These terms cover the Spake application and its sale. Buying a license or using the app means you accept them. Polar acts as the merchant of record and has its own terms for the transaction itself.
License
Your purchase grants you a personal, non-exclusive, non-transferable license to install and use Spake on up to 3 Macs that you own or control, for as long as you comply with these terms. You may deactivate a Mac at any time and activate another in its place.
Selling entity not set
The company that sells Spake and stands behind these terms has not been filled in yet. It will be named here, in the footer, and on the invoice before the app goes on sale.
What you may not do
- Share, resell, sublicense, rent, or publish your license key.
- Circumvent the trial or licensing checks, or distribute a modified build.
- Reverse engineer, decompile, or disassemble the app, except where that right cannot be excluded by law.
- Remove or obscure the copyright, trademark, or acknowledgement notices in the app.
Third-party components in Spake carry their own licenses, listed in the app's acknowledgements; those licenses govern those components.
Ownership
Spake is licensed, not sold. The seller retains all rights in the software, its design, and its name. Your notes are entirely yours: the recordings, transcripts, and files Spake produces belong to you, we claim no rights in them, and we never receive them.
Updates
All updates are included at no extra cost. We may change or remove features between versions, and we may end support for older macOS releases.
Trial
The trial is the full app for 14 days, with no card and no account. When it ends, recording stops until you enter a license key. Everything else — reading, searching, playing, exporting, and editing the notes you already made — keeps working, and your files stay where they are.
Refunds
Within 30 days of purchase, ask and we refund, no questions.
Email support@spake.app from the address you bought with. The refund is issued by Polar, and the license is deactivated when it is processed.
No warranty
Spake is provided as is, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Speech recognition and text recognition make mistakes; keep the original audio for names, numbers, and anything consequential, and do not rely on a transcript as a record of fact. You are responsible for backing up your notes and for complying with the laws that apply to recording your own screen and voice.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, lost profits, or lost time. Our total liability for any claim relating to Spake is limited to the amount you paid for your license. Some jurisdictions do not allow these limits, in which case they apply only as far as that jurisdiction permits.
Termination
This license ends if you breach these terms, and you must then stop using the app and remove it. You can stop using Spake whenever you like. Your notes are plain files on your own disk and remain readable without the app either way.
